An Owen Thomas & Associates Pty Limited (OTA) independent Executive Remuneration Review is a three-stage process:
- OTA will attend your offices to meet with the director or executive commissioning the report. We will discuss which officers of the company are to be assessed (usually the Directors, Managing Director/Chief Executive Officer, Chief Financial Officer, Company Secretary and any other Managing Director/Chief Executive Officer direct reports), the timing of the report and any other issues of which OTA should be aware.
- Following this meeting OTA will prepare a report using our extensive experience and data on the remuneration of executives from companies listed on the Australian Stock Exchange. The report will assess three forms of remuneration:
- Base Remuneration - base salary, benefits and all fixed forms of remuneration;
- Short-Term Incentives - any performance-based remuneration assessed over twelve months or less; and
- Long-Term Incentives - any performance based remuneration assessed over three years or longer.
Any other form of remuneration, such as a two-year incentive, would fall between the usual parameters of incentive remuneration, and would therefore require assessment and justification on an individual basis.
The report will recommend the form of delivery that would be appropriate for the recommended remuneration.
- Finally, OTA will provide the report for review and then attend your organisation to discuss the report, its findings and any recommendations. Once an initial review has been completed a review update can be undertaken annually.
